General Terms and Conditions for the Booking of vivis-Conferences

§ 1 Scope of Application 

These General Terms and Conditions govern the contractual relationship between the participant of the conferences and congresses (hereinafter referred to as “Participant”) and Thomé-Kozmiensky Verlag GmbH (hereinafter referred to as “TK Verlag”) as organiser. The following terms and conditions apply exclusively to the business relationship in the version valid at the time of the order. Deviating general terms and conditions of participants shall not apply. Special agreements and subsidiary agreements only become valid if TK Verlag has expressly agreed to their validity in writing. 

§ 2 Registration and confirmation of registration 

  1. Registration must be made in writing, by post, e-mail or online at www.vivis.de, to TK Verlag. The registration becomes legally binding through our written confirmation (invoice). 
  2. Individual parts of the events cannot be booked unless expressly stated in the event programme. 

§ 3 Offer, price, service 

  1. All offers made by TK Verlag on its Internet pages are subject to change. TK Verlag reserves the right to make price changes at any time, which it will inform the participant of in good time.  
  2. The participation fee refers to the amount shown on the registration form per person and event date plus statutory VAT. The participation fee includes the following services: 
    1. Participation in the lecture event 
    2. Coffee breaks and lunch 
    3. Participation in the evening event 
    4. conference documents: proof of admission (also name badge), list of speakers and participants, final programme 
    5. Online access to the participants’ area of our Vivis app (videos of lectures and list of speakers and participants; programme; contact options for exhibitors and other participants) 
  3. TK Verlag reserves the right to replace announced speakers with others and to make necessary changes to the event programme while maintaining the overall character of the event. 
  4. If the event cannot be held due to force majeure, due to speakers being prevented from attending, due to disruptions at the venue or due to too few participants, the participants will be informed immediately. An event cannot be cancelled later than two weeks before the event due to insufficient number of participants. In this case, the event fee will be refunded. A claim for reimbursement of travel and accommodation costs and loss of work is excluded unless these costs are incurred due to gross negligence or willful conduct on the part of TK Verlag.  
  5. TK Verlag undertakes to do all that can reasonably be expected to remedy or limit any disruption in performance that may occur. 

§ 4 Due date and payment, default, set-off 

  1. Unless otherwise agreed, invoices are payable immediately without deduction. A warranty retention is excluded. 
  2. The participation fee shall be paid within 14 days of receipt of the invoice.  
  3. The participant may pay the participation fee by bank transfer or direct debit. Payment by sending cash or cheques is not normally possible; TK Verlag accepts no liability in the event of loss. An exception to this is on-site registration. A participant who registers for an event at short notice may pay the participation fee either in cash or by cheque at the on-site registration desk. 
  4. Payments must be made free of costs and charges, i.e. without deduction of any transfer fees, for example by banks in Germany or abroad, to the bank accounts of TK Verlag stated on the invoice. 
  5. In the case of transfers from abroad, the participant indemnifies TK Verlag against all transfer costs of the banks involved. Should the participant submit a remittance slip to his bank, the participant must expressly inform his bank that he will pay all fees incurred in Germany and abroad. The recipient does not pay any fees. Only then will the invoice amount be received in full by TK Verlag.  
  6. Default occurs according to the legal regulations. If the participant is in arrears with a payment in whole or in part for more than 30 days or if an application is made to open insolvency proceedings against his assets, TK Verlag is entitled, without prejudice to other rights, to declare all claims against the participant due immediately, to withhold all deliveries or services and to assert all rights arising from the reservation of title.  
  7. If the participant is in default of payment, TK Verlag is entitled to demand interest on arrears in the amount of 5% above the base interest rate p.a. as published by the European Central Bank (§ 247 Para.1, § 288 Para.1 BGB). If TK Verlag proves higher damage caused by default, this can be asserted. If TK Verlag can prove higher damage caused by delay, TK Verlag is entitled to assert this. This does not affect the participant’s right to prove lower damages.  
  8. The participant only has a right of set-off if his counterclaims are legally established, undisputed or recognised by TK Verlag. Furthermore, the participant is only entitled to exercise a right of retention insofar as his counterclaim is based on the same contractual relationship. 

§ 5 Cancellation 

  1. Cancellation (only in writing) is possible up to 30 days before the start of the event, but a processing fee of EUR 50 plus VAT will be charged. 
  2. After this deadline, the full participation fee will be due. TK Verlag will accept a substitute participant at no additional cost. 

§ 6 Liability 

The events are prepared and held by qualified speakers. TK Verlag accepts no liability for the topicality, correctness and completeness of the conference documents or for the conduct of the event. 

§ 7 Copyrights 

  1. The (e-)books as part of the conference documents, are protected by copyright. The rights conferred thereby, in particular those of translation, reprint, lecture, extraction of illustrations and tables, radio transmission, microfilming or reproduction by other means and storage in data processing systems, are reserved, even if only excerpts are used. Reproduction of this work or parts thereof, even in individual cases, is only permitted within the limits of the statutory provisions of the Copyright Act of the Federal Republic of Germany of 9 September 1965, as amended. It shall be subject to remuneration. Infringements shall be subject to the penal provisions of the Copyright Act. 2. 
  2. The reproduction of common names, trade names, product designations, etc. in this work, even without special labelling, does not justify the assumption that such names are to be regarded as free within the meaning of trademark and brand protection legislation and may therefore be used by anyone. If reference is made directly or indirectly in this work to laws, regulations or guidelines, e.g. DIN, VDI, VDE, VGB, or if quotations are made from them, the publisher cannot accept any liability for their correctness, completeness or up-to-dateness. It is advisable to consult the complete regulations or guidelines in the currently valid version for one’s own work, if necessary. 

§ 8 Jurisdiction and place of performance 

Place of performance for all claims arising from the business relationship between the participant and TK Verlag is Neuruppin. In the event that the participant is a merchant within the meaning of the German Commercial Code (HGB), Neuruppin is designated as the exclusive place of jurisdiction for all claims in connection with the business relationship. 

§ 9 Applicable law 

  1. The substantive law of the Federal Republic of Germany shall apply exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods. 
  2. Amendments and supplements to the provisions contained in these terms and conditions must be made in writing and agreed in the purchase contract in order to be effective. Verbal or written subsidiary agreements are binding on TK Verlag only after written confirmation. 

§ 10 Severability clause 

Should one or more provisions be invalid, this shall not affect the validity of the remaining provisions. In such a case, the invalid provision is to be replaced by the business partners with a valid agreement whose economic and legal meaning comes as close as possible to that of the defective provision.
